Our client, a global software and consulting company is seeking a Governance and Compliance Manager to join their Legal team.This role would suit an individual with prior experience supporting the board of directors of a public company. The successful candidate will work as part of the Legal team, under the direction of the Head of Legal.

Essential Responsibilities:

  • Supporting the company’s board of directors, in line with meeting governance processes, including:
    • Building and managing agendas.
    • Meeting organization and coordination.
    • Preparation and circulation of meeting materials.
    • Post-meeting communication and action tracking.
  • Managing the governance functions of the company’s various legal entities and business units, including preparing reports, meeting minutes, resolutions, agreements, and legal correspondence, and other related materials.
  • Acting as the Company’s subject matter expert on the System for Electronic Document Analysis and Retrieval (“SEDAR”) and the System for Electronic Disclosure by Insiders (“SEDI”), and serving as the primary administrator of filings.
  • Preparing correspondence to the Toronto Stock Exchange.
  • Maintaining corporate and department records and calendars and managing the legal department’s filing systems.
  • Other duties and responsibilities as required.

Qualifications:

  • A university degree in a relevant field from an accredited institution is strongly preferred.
  • Alternatively, a combination of relevant experience, specialized training, and/or certifications may also be considered.Knowledge & Skills

  • Supporting Governance and Compliance in a public company is beneficial.
  • Liaising with Board of Directors or executive level – beneficial but not essential.
