The Governance Specialist supports the Governance Office by providing executive level support specifically in the areas of governance, board affairs and board/corporate project management and contributing to the continuous improvement of enterprise governing policy management.  Supporting the Chief Compliance Officer and Corporate Secretary and working alongside the GLC (Governance, Legal, Compliance and Privacy) team, and collaborating with other business units, the Governance Specialist’s responsibilities include fostering strong relationships across various business units to enable, facilitate, and enhance organization-wide governing policy development and management, supporting the Corporate Secretary and Board Administrator with board affairs and special projects, and providing general corporate assistance.

What will you do?

  • Develop and maintain board and corporate-level governing mandates, frameworks, and policies.
  • Maintain a centralized, up-to-date, interactive and enterprise accessible and secure database of governing documents
  • Partner with business units to enable and facilitate the development of standards and templates
  • Support the CCO and Corporate Secretary with educating and informing business units on the development, oversight, and maintenance of governing frameworks and policies
  • Communicate effectively with business units and management, providing executive-level support in governance, board affairs, and project management.

 

What will you need?

  • 5+ years of experience in governance and policy development required
  • 3+ years of experience in project management required
  • 3+ years of experience with corporate secretarial, corporate law preferred
  • Community college diploma in governance, project management, corporate law or corporate secretarial preferred
  • Maintain a professional, mature demeanor with high diplomacy and communicate clearly and professionally
  • Exercise absolute discretion, safeguarding confidentiality and sensitive information.
  • Exhibit significant attention to detail, organization, and efficiency, with the ability to prioritize tasks effectively.
  • Demonstrate proactive initiative, completing projects with minimal direction and providing regular status updates.
  • Ability to successfully adapt to changes, manage competing demands, and handle unexpected events efficiently.
  • Significant proficiency in MS Office applications, Diligent, and strong PC skills with exceptional writing, editing, and proofreading capabilities.
  • Experience with policy or document management technology platforms, including Onspring is considered an asset
